Terms of Service

These terms are the agreement between you and Eldritch Logic, LLC covering your use of SocialGrip. Please read them — by creating an account you agree to all of them.
1. The agreement
SocialGrip is provided by Eldritch Logic, LLC, a Texas limited liability company (“we”, “us”). By creating an account or using the service you accept these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
2. What the service does
SocialGrip lets you connect social media accounts, create and schedule posts, generate drafts with AI, design images, and view how your posts performed. We improve and change features over time. Our integrations depend on third-party platform APIs, which those platforms can change, restrict or withdraw at any time, sometimes without notice.
3. Your account
You must be at least 18, or the age of majority where you live, to use SocialGrip. Give us accurate information and keep it current. You are responsible for your credentials, for everything done through your account, and for the conduct of anyone you invite into your workspace. Tell us promptly if you suspect unauthorised access.
4. Subscription and billing
SocialGrip costs $20 per month. One subscription covers one workspace, and you may invite unlimited members to that workspace at no additional charge. Payment is taken through Stripe, and your subscription renews automatically each month until you cancel.
You can cancel at any time from Settings. Your access continues until the end of the period you have already paid for, and you are not charged again. We do not give refunds, including partial or pro-rated refunds, for time remaining on a cancelled subscription. Nothing in this section limits any right you have under consumer protection law that cannot be waived, including statutory withdrawal rights available to consumers in the EEA and the United Kingdom.
We may change the price with at least 30 days’ notice before it applies to your next renewal; if you do not accept the change, cancel before then. Prices exclude taxes, which are yours to pay where they apply. If a payment fails we may suspend access until it succeeds.
5. Your content
You keep ownership of everything you create or upload. To operate the service you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, resize or reformat, and transmit your content — solely to run SocialGrip and to publish where you direct us to. This licence ends when you delete the content, except for copies already published to a platform and for residual copies in backups.
You are responsible for your content, and you confirm you have the rights to publish it.
6. Third-party platforms
Every platform you connect has its own terms, and you must follow them. Connecting an account authorises us to act on your behalf on that platform as you instruct.
We are not responsible for a platform’s availability, rate limits, API changes, its refusal to accept a post, or any action it takes against your account, including restriction or suspension. Scheduled publishing depends on the platform accepting the request at that moment; see section 8.
7. Acceptable use
You may not use SocialGrip to:
- break the law, or infringe anyone’s rights
- send spam or unsolicited bulk messages
- distribute malware or harmful code
- harass, threaten, or publish hateful content
- evade a platform’s rate limits, automation rules, or restrictions
- resell, sublicense, or white-label the service
- scrape it, or interfere with its operation
- reverse engineer it, except where the law expressly allows you to
- attempt to reach data belonging to another workspace
8. AI features
Drafts are produced by a third-party language model. Output can be inaccurate, misleading, biased, or similar to text that already exists. We make no representation that generated content is original or that you own it. Review everything before you publish it — what you publish is your responsibility, including whether it is lawful and accurate.
9. Availability
We work to keep SocialGrip available, but we do not guarantee uninterrupted or error-free operation. Scheduled publishing is a best-effort feature: a platform outage, a revoked token, or an API change can delay or prevent a post from going out. We may take the service down for maintenance.
10. Suspension and termination
You can delete your account at any time — see Deleting your data. We may suspend or terminate your account if you breach these terms, if payment fails, or if the law requires it, giving notice where that is practicable. On termination your access ends and your data is deleted as described in the Privacy Policy.
11. Disclaimers
To the fullest extent the law allows, SocialGripis provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements or operate without interruption or error.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, data or goodwill. Our total liability arising out of or relating to these terms is limited to the greater of the fees you paid us in the twelve months before the claim arose, or US$100.
Nothing here excludes liability that cannot be excluded by law, including for fraud, for death or personal injury caused by negligence, or any non-waivable consumer right.
13. Indemnity
You will indemnify and hold us harmless against claims, damages and reasonable costs arising from your content, your use of the service, or your breach of these terms.
14. Governing law and disputes
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The state and federal courts in Harris County, Texas have exclusive jurisdiction over any dispute, and you consent to their jurisdiction and venue.
If you are a consumer in the EEA or the United Kingdom, this does not deprive you of the protection of the mandatory law of your country of residence, or of your right to bring proceedings there.
15. Changes to these terms
We may update these terms. The date at the top reflects the current version, and we will note material changes in the product before they take effect. Continuing to use SocialGrip after a change means you accept the updated terms.
16. General
These terms and the Privacy Policy are the entire agreement between us about SocialGrip. If any provision is held unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither of us is liable for failure caused by events beyond our reasonable control.
